Corporate Paralegal

• Maintaining books and records including minute books, capitalization tables, transaction binders, and other materials.
• Assisting with creation, maintenance and dissolution of entities and managing those activities, preparing written consents, resolutions, certifications, minutes and other corporate documents as needed
• Provide comprehensive legal and administrative support on all governance matters
• Preparing, reviewing and proofreading documents and handling document distributions and signatures
• Provide operational support to the legal department
• Other duties or projects as assigned by the legal department which may include working on regulatory issues

Qualifications:

• Must have at least five years of experience
• Bachelor's Degree. A Paralegal Certification is a PLUS!
• Demonstrated proficiency with corporate records and debt and equity transactions.
• Proven ability to read and interpret legal documents.
• Ability to work independently with minimal supervision
• Strong initiative and follow up skills
• Detail and deadline oriented
• Logical, intuitive and persistent personality
• Strong analytical skills
• Excellent problem-solving abilities
• Microsoft Word, Excel and PowerPoint
