The Head of Equity Compensation is responsible for managing and administering equity-based compensation programs, ensuring they are competitive, compliant, and contribute to the company's goals of employee retention and motivation, especially critical in a pre-IPO phase.

<title>Main tasks and responsibilities:</title>

- <point>Design and Execution: Lead the design, implementation, and management of all equity compensation programs, including stock options, vSOPs, and other equity vehicles, ensuring alignment with company objectives and market competitiveness. Also, develop and deliver robust reporting and analytics on equity compensation metrics, ensuring data integrity, accuracy, and insightful analysis to support business decisions, retention strategies, and financial forecasting. </point>
- <point>Equity Administration: Oversee the entire equity grant lifecycle—from issuance to vesting, exercise, and eventual settlement—ensuring precise execution and alignment with the company’s strategic goals. </point>
- <point>Compliance and Regulatory Oversight: Collaborate with Legal, Finance, Tax, and Investor Relations teams to ensure equity programs comply with all relevant regulatory requirements, including SEC, IRS, and global statutory obligations. Regularly update the Remuneration Committee (RemCo) on compliance and strategic issues.</point>
- <point>Cross-Functional Leadership: Drive cross-functional initiatives by leading partnerships with key stakeholders, including Finance, Investor Relations, People Partners, and senior executives, to integrate equity programs into broader compensation and business strategies. Also, manage and mentor a team responsible for both strategic planning and operational execution of equity compensation, ensuring alignment with organizational goals and fostering professional growth within the team.</point>
- <point>Platform Transition: Lead the transition from Carta to the selected new equity management platform, ensuring minimal disruption and alignment with future IPO readiness requirements.</point>
- <point>Employee Education and Communication: Design and implement educational initiatives to enhance employee understanding and appreciation of equity compensation, including training sessions, communication materials, and one-on-one guidance.</point>

- <point>In-depth knowledge of equity compensation vehicles, including their design, tax implications, and regulatory requirements.</point>
- <point>Experience with compliance in listed companies, with a deep understanding of public market regulations and governance requirements, including experience working with RemCo.</point>
- <point>Strong analytical and financial skills, with the ability to manage and interpret complex data and provide actionable insights.</point>
- <point>Exceptional communication skills, capable of educating and influencing employees and executives on equity compensation matters.</point>
- <point>Demonstrated ability to work collaboratively across functions, leading projects and initiatives that involve multiple stakeholders, as well as experience in managing and developing a high-performing team, with a focus on strategic and operational excellence.</point>
- <point>Familiarity with equity management platforms and experience in overseeing transitions between systems is a plus.</point>
