The Corporate Attorney is an important and valued member of the corporate legal team and the Legal Department. This role requires experience with and enthusiasm for a wide range of corporate transactions, governance, securities and compliance matters.
Essential Duties & Responsibilities:
•Draft and manage execution of corporate governance documents e.g., officer certificates, board resolutions, written consents
•Maintain corporate minute books
•Participate in editing, fact-checking and filing of critical public disclosure documents such as annual reports, quarterly statements, and compliance certifications
•Create, manage and assist with filing documents related to new and existing subsidiaries and affiliates in the US and internationally
•Enhance, manage and maintain user-friendly database and records of key corporate documents e.g., charters, bylaws, amendments, shareholder agreements, etc.
•Develop detailed knowledge of key corporate documents (e.g., certificate of incorporation, bylaws, shareholder agreement).
•Maintain and execute corporate policies and procedures (e.g., disclosure, trading, FCPA, document retention, litigation holds)
•Maintain legal status of subsidiaries in all U.S. and offshore jurisdictions, including qualifications, withdrawals, reinstatements and other filings.
•Provide corporate documentation to operating units and Legal Dept colleagues as required
•Assist with corporate issues raised by operating units and Legal Dept colleagues (i.e. requirements under contracts, etc.
•M&A team member, assisting with diligence, closings and closing documents, and ancillary documents such as good standing certificates, and post-closing actions
•Review, monitor and analyze shareholder and other capital markets activities.
Preferred Knowledge/Skills/Experience:
•Working knowledge of Best Practices in corporate governance and securities law.
•Ability to understand and apply legal guidelines
This Corporate Attorney role is a more junior position with required 0 -3 years experience.
