Your Impact:

The legal and compliance role is vital for ensuring that the company operates within legal boundaries and supports strategic objectives. Responsibilities include regulatory compliance, document management, and legal advisory, while essential skills encompass effective communication, project management, and collaboration.

Your day-to-day responsibilities:

To ensure compliance with local and international regulations, the responsibilities of a legal or compliance role may include:

• Regulatory Compliance: Ensure the company complies with local corporate, regulatory and listing requirements, including those from SEC, BOI, MoC, and ISO, in its process to an IPO on the Stock Exchange of Thailand and when it becomes a public-listed company.
• Document Management: Draft and review commercial, business, and financial agreements/documents with third parties.
• Board Meetings: Arrange board meetings and prepare minutes as required.
• Government Applications: Prepare and file applications related to registration amendments or new incorporations, such as company name changes, capital adjustments, and changes in directors/shareholders.
• Legal and Compliance Advisory: Advise on legal, compliance and listing requirements for a successful IPO on the Stock Exchange of Thailand and legal issues related to commercial contracts, company projects, or any legal points raised by the management team.
• Project Support: Support, engage, and lead in company projects assigned by the CEO or group management, such as M&A, IPO, and fundraising.
• Data Protection: Have experience in GDPR and PDPA, train staff, and provide relevant policies to ensure compliance with applicable laws.
• Team Management: Instruct, manage, and lead the team, ensuring cooperation with other departments.

Your ideal profiles:

• Bachelor of Law in Thailand

• Minimum 7 years experience in legal corporate and compliance fields (either in-house or law firm)
• Minimum 3 years experience working as a legal manager or similar position with a listed company on the Stock Exchange of Thailand; ideally have worked with the company to achieve a successful IPO on the Stock Exchange of Thailand
• Experience in M&A, and Fundraising is preferable and DPO certification is a plus
• Thai Lawyer License
• Notary Public of Thailand
• Strong understanding of regulatory compliance standards
• Knowledge of and experience with advising on listing, legal and compliance requirements for a listed company on the Stock Exchange of Thailand
• Ability to organize and facilitate board meetings effectively
• Proficient in legal advisory and problem-solving
