Purpose of Position:
The overall purpose of my role at Pantheon is to provide in-house legal and regulatory advice and support to the business by assisting with the establishment and fundraising of Pantheon funds and separate account programmes, assisting with general corporate group, regulatory and compliance matters and assisting the various investment team divisions with investment related work. Collaborate with key stakeholders across Pantheon in delivering on strategic initiatives on regulatory implementation. Interpret new and existing regulations and advise on the development of policies that support the implementation of and adherence to these regulations.
Key Responsibilities:
Fund Raising:
- Establishing Pantheon funds and assisting in their fundraising; advising on fund structure; drafting / reviewing/negotiating fund documentation (LPAs, PPMs, side letters, etc.); advising on regulatory requirements; co-ordinating investor closings; fund maintenance work
- Assisting with segregated account programmes – drafting / reviewing / negotiating term sheets, investment management/advisory agreements and segregated limited partnership agreements
- Coordinating with internal marketing and client service teams, independent boards of directors, external counsel and administrators in respect of the establishment, launch, marketing/fundraising and maintenance of the Pantheon funds
- Preparing and maintaining various Pantheon fund/client checklists
Corporate and Regulatory:
- Working alongside the Compliance team on issues connected with all regulatory aspects of Pantheon’s business (e.g. AIFMD and related issues around filings and marketing passports and related regulations); keeping up to date on new European legislation relevant to fund structuring and management (e.g. Investment Limited Partnership Reform in Ireland etc.) and as applicable, advising the firm in connection with certain US regulatory aspects of Pantheon’s business (e.g., the Securities Act of 1933, the Investment Company Act of 1940 and the Investment Adviser Act of 1940, ERISA)
- Monitor the global regulatory landscape and industry developments that will impact Pantheon’s strategy and practices
- Lead on the interpretation of new and existing global regulations, and advising on internal requirements and regulatory obligations
- Advise internal stakeholder groups, management, and external boards on the implementation of regulatory changes
- Identification, interpretation and application of applicable UK laws, rules and regulations
- Drafting / reviewing / negotiating a wide range of contracts (including commercial agreements, leases and statements of work)
- Advising staff of legal and regulatory requirements/boundaries/risks
- Supervising and educating external counsels on Pantheon practices
- Liaising with applicable regulatory authorities
- Attending to other general Pantheon group corporate matters
Investment Work:
- Assisting the various investment team divisions (primary, secondary, co-investment, infrastructure) in relation to investment transactions; assisting with queries on NDAs, fund / transaction terms
- Preparing and maintaining various Pantheon investment checklists
Management:
- Potentially manage one to two junior legal counsels/secondees in London
- Ensure compliance with relevant laws, regulations and Pantheon policy (including reporting compliance risks and maintaining appropriate standards of conduct)
Knowledge and Experience Required:
- High School Diploma or Equivalent
- Either an undergraduate Law degree, or any undergraduate degree plus a Graduate Diploma in Law (or equivalent)
- Post graduate Legal Practice Course is required, as is the completion of a two-year training contract with a law firm (or applicable equivalent)
- Ideally qualified as a Solicitor in England & Wales.
- English qualified solicitors must maintain a practising certificate. Part of maintaining a practising certificate is to undertake regular learning and development to ensure that skills and knowledge remain up to date. An annual declaration that this has been done must be made to the Solicitors Regulatory Authority.
- 6+ post-qualification years of relevant private equity/asset management experience at law firms and in-house
- Other professional certification(s) such as ESG in finance/asset management/sustainability in finance are desirable
