Finance Director (UK) - US Private Equity Fund - London (Can be 100% remote) - 3/4 days per weekAltum Consulting has been retained by a hugely successful, US-based LBO fund to secure a part time Finance Director to manage their UK portfolio. The firm have over $30bn AUM globally and 50+ companies in their portfolio. The firm's strategy is focused on leveraged buy-out investments of lower-mid market businesses across the US, Asia and Europe, across sectors such as technology, retail, business services, logistics and real estate,The role requires an experienced Finance Director to ensure compliance with accounting, tax and legal requirements for UK-based holding companies in relation to acquisitions of Europe-based portfolio businesses.Key Responsibilities,Management & Administration,Holding companies’ 3rd party service providers: provide assistance to the board of directors, deal teams, and/or operations teams to initiate new engagements, negotiate fees, set goals and expectations, manage relationships, and coordinate engagements.Support holding companies’ 3rd party service providers to obtain various deals’ documents, signatures, invoices, etc. from US headquarters.Review and validate financials and other output documentation provided by 3rd parties before presenting final documents to the Board for signature.Provide administrative support to holding companies after the sale of underlying portfolio companies, as needed.Finance, Open/manage/pay invoices from certain UK bank accounts: open those bank accounts and perform payments/reconciliations.Analyse and review holding companies’ monthly financial statements (management standalone accounts) and give comments along with the portfolio companies’ finance teams to ensure they tie to what is reported in the consolidated accounts.Ensure portfolio companies’ group accounts contain all the necessary components to allow UK holding companies to comply with local requirements.Review year-end accounts.Support both the filing of the accounts and tax returns to ensure everything is filed on time.Ensure periodic VAT returns are filed on time.Work closely with various Deal Teams to understand the deal structure and subsequent add-on or (partial) divestiture activity, so as to become the primary point of contact for 3rd party accounting firms and/or auditors regarding funds flows and other transactions related to acquisitions.Support auditors’ engagement process for UK entities and the consolidation.Collect and transmit all required supporting documentation for UK holding companies to the auditors, along with preparing audit confirmation letters.Manage companies’ initial on boarding with Headquarters and advisors (incorporation, opening bank accounts, tax registration, new engagement with 3rd parties, etc.).Organize quarterly board meetings, write minutes (however, transaction minutes are prepared by legal counsel).Assist with corporate governance matters as neededRequired Experience & Skillset, Extensive and substantive experience in:Accounting, ideally a qualified/chartered accountantInteracting and liaising with auditorsCorporate governance; and engaging 3rd parties (e.g. preparing/reviewing SOWs, negotiating fees).Professional level: “Big 4” manager or higher, minimum 10 years work experience..Ability to manage multiple projects simultaneously.Excellent administrator, maintaining good records and documentationExperience working with private equity firms, including preparation of lender reporting
