We are looking for a motivated Legal Counsel – Commercial & Privacy to join our Legal team in Tallinn, Estonia. You will be tackling various legal matters that arise in our dynamic, fast-paced, innovative and international B2B SaaS startup. We are in early phases of growth where processes still need to be developed. A significant portion of your time will be dedicated to commercial matters and data privacy. You will be working cross-functionally with many key company stakeholders, and be involved in many exciting and critical business matters. You will have an opportunity to negotiate with some of the world’s largest enterprises, since Pactum’s customers are mainly Fortune 500 companies.

We are looking for someone who will:
- Draft, review, negotiate and manage the full lifecycle of various commercial agreements, including SaaS, data processing, professional services, software license, non-disclosure, vendor and partner agreements.
- Drive efforts to comply with global data privacy laws and regulations, manage data privacy framework and program and draft, review and negotiate data processing agreements. Advise stakeholders on all kinds of data privacy matters.
- Review commercial and product initiatives from a legal and compliance perspective.
- Identify opportunities for improvement in processes, tools, templates, policies, knowledge management and other related areas, and help implement those improvements.
- Conduct legal research and analysis where required and proactively recognize and propose solutions to potential legal and compliance issues.
- Provide practical legal advice and prepare legal documents where required.
- Work cross-functionally with teams such as e.g. Sales, Product, Marketing, People, Security and Finance.
- This is a small legal team so you will have ample opportunity (and be expected to) pitch in and work on matters outside of your main focus areas. This means you will also advise and support on a variety of other tasks as required, e.g. in relation to employment laws, corporate governance, intellectual property, regulatory, compliance etc.
- Handle legal coordination and administrative tasks where required.
- Respond to other ad hoc legal requests and provide legal guidance where required.
- Stay current on relevant laws, regulations, and developments to provide the most up-to-date guidance.
You are likely to succeed if you:
- Have 5+ years of relevant experience in in-house legal department or at a well respected law firm, or equivalent experience.
- Have a deep understanding of privacy laws and regulations and their developments for a startup with global reach. CIPPM/E/US is a bonus.
- Have an LLM/Master’s degree in law from a reputable university.
- Have excellence and accuracy in legal drafting and negotiating various sophisticated and complex agreements.
- Have demonstrated strong capability to manage several simultaneous tasks or projects under deadline pressure, think strategically, handle ambiguity and shift priorities with flexibility, patience, and poise. Have strong ability to make risk-based commercial decisions.
- Have high ethics, accountability and resilience.
- Have a self-starter approach. You are eager to gain expertise in new complex areas of the law, and also willing to work on “bread and butter” type of tasks, including occasional basic agreements. You are not afraid to get your hands dirty with whatever lands on your desk. You roll up your sleeves, work efficiently and get things done on time with limited guidance.
- Have strong collaboration and project management skills, and a strong ownership mindset.
- Are organized and meet deadlines.
- Have a proactive approach to recognizing needs, anticipating issues, and solving problems.
