Growing Global Life Insurance company is searching for a Regulatory and Reinsurance Senior Counsel to join their team.
The Senior Counsel, Regulatory & Reinsurance, will join a small legal team and will act as the primary regulatory counsel and relationship manager for multiple state insurance regulators, participate in complex insurance growth transactions and reinsurance agreements, and provide support for other areas, as needed, within the company.
Position Description
- Serves as the primary regulatory subject matter expert and go-to counsel for analyses of applicable law and regulation
- Acts as primary contact and relationship manager for multiple state insurance departments
- Monitors and develops strategies for responding to regulatory developments
- Serves as an integral member of the core deal team for growth and other reinsurance transactions, including YRT, block and flow reinsurance agreements, captive financings, and other arrangements in the life insurance space, as well as other strategic growth initiatives
- Participates in the entire lifecycle of transactions from development of preliminary bids and indications of interest through closing
- Provides counsel regarding transaction structure and manages necessary regulatory filings and approvals
- Drafts and negotiates a wide variety of agreements, including confidentiality agreements, investment banking and outside advisor engagement letters, definitive purchase and sale agreements, joint venture agreements, reinsurance agreements, trust agreements, and administrative services agreements
- Participates in strategic and tactical decision-making and provides counsel to senior management on all legal aspects related to contemplated transactions
- Advises and collaborates closely with other functions across the company, including finance, actuarial, investments, risk, and operations
- Manages and oversees outside law firms to obtain world-class, cost-effective legal services
Requirements
- Law degree from accredited U.S. law school
- Current bar license in good standing and compliant with state requirements
- Minimum 6 years of related experience
- MUST have Life Insurance/Reinsurance Experience
- Familiarity with the Model Holding Company Act
- Ability to work under pressure with a high degree of attention to detail, effectively prioritize and manage workload, including conflicting demands, and meet deadlines within a changing, fast-paced environment
- Strong analytical skills and demonstration of high degree of judgment
- Demonstrated leadership presence and skills
- Superior interpersonal, organizational, written, and oral communications skills
This position is located in NYC and will work a hybrid schedule of 2-3 days in the office/ week.
